By using DealSeal ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
1. Description of Service
DealSeal provides an AI-assisted negotiation platform that facilitates price and terms discussions between two parties using independent AI advocates. The Service is provided on an "as is" and "as available" basis.
2. Disclaimer of Warranties
THE SERVICE IS PROVIDED WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.
DealSeal makes no representations or warranties regarding the accuracy, reliability, completeness, or timeliness of any AI-generated content, negotiation outcomes, proposals, or recommendations. AI advocates may produce errors, hallucinations, or suboptimal negotiation strategies.
3. No Representations or Warranties
DealSeal does not represent or warrant that:
- The Service will meet your specific requirements or expectations
- AI-generated negotiation outcomes will be fair, optimal, or satisfactory to either party
- The Service will be uninterrupted, secure, or error-free
- Any negotiation result constitutes a legally binding agreement unless independently formalized by the parties
- The AI advocates will accurately represent your interests or achieve any particular outcome
4. Not Legal Advice
The Service does not provide legal, financial, or professional advice. Negotiation outcomes generated by the AI are suggestions only and do not constitute binding contracts unless independently executed by both parties. You should consult qualified professionals before relying on any negotiation outcome.
5. Limitation of Liability
IN NO EVENT SHALL DEALSEAL, ITS OWNERS, OPERATORS, AFFILIATES, OR CONTRIBUTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, resulting from:
- Your use of or inability to use the Service
- Any negotiation outcome, whether successful or unsuccessful
- Unauthorized access to or alteration of your data
- Statements or conduct of any third party or AI system on the Service
- Any other matter relating to the Service
DealSeal's total aggregate liability shall not exceed the amount you paid for the Service in the transaction giving rise to the claim.
6. Confidentiality
The Service is designed to keep each party's private negotiation data (bottom line, BATNA, strategy) confidential and isolated from the other party. However, DealSeal does not guarantee absolute security and is not liable for any data breach or inadvertent disclosure.
7. User Responsibilities
You agree to:
- Provide accurate information when creating or participating in negotiations
- Not use the Service for fraudulent, illegal, or deceptive purposes
- Not attempt to manipulate, reverse-engineer, or exploit the AI systems
- Accept sole responsibility for any decisions made based on negotiation outcomes
8. Payments and Refunds
Payments for Standard and Premium tiers are processed through Stripe. All sales are final. No refunds will be issued for completed or in-progress negotiations. If a negotiation fails due to a technical error on our end, we may, at our sole discretion, offer a credit or re-run.
9. Modification of Terms
DealSeal reserves the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the revised Terms.
10. Governing Law and Venue
These Terms and Conditions and the use of the Service shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of laws principles. Any legal action or proceeding arising from this use shall be brought exclusively in the state or federal courts located in Lake County, Illinois (USA). You hereby consent to the personal jurisdiction of such courts.
